Sales Terms

Terms and Conditions of Sale

Scope of Application and Precedence

These Terms govern the engineering services and deliverables (the "Services") provided by Added Value Industrial Engineering Solutions, S.L.U. ("AVS") to the customer ("Customer"). The acceptance of a quotation from AVS or the issuance of a purchase order by the Customer implies the acceptance of these Terms.

The Customer's general conditions of purchase are expressly excluded. The Customer's purchase orders or procurement portals shall have an exclusively administrative character and shall not modify these Terms nor AVS's quotation.

These Terms, together with AVS's quotation and the technical specifications expressly incorporated therein, constitute the entire agreement between the Parties and supersede any prior negotiation, communication, or agreement, whether oral or written. In the event of any discrepancy between these Terms and AVS's quotation, the provisions of the quotation shall prevail.

Offers and Scope of Services

Quotations issued by AVS shall be valid for the period specified therein. Prices, schedules, deliverables, number of iterations, and technical specifications apply exclusively to the scope expressly defined in the quotation; any work, support, testing, integration, or documentation not explicitly detailed therein shall be considered outside the scope of the contract.

Any modification, addition, revision, or deviation regarding the scope, requirements, schedules, or specifications shall require a prior written request from the Customer and the formal approval of a Change Order by AVS. AVS shall not be obligated to initiate or execute any additional work until such Change Order is signed, and any delay in execution arising from the lack of agreement on the price and schedule adjustments shall not constitute a breach of contract.

Prices, Invoicing, and Payment

AVS's prices are stated in euros (€) exclusive of taxes (VAT or applicable duties). In engineering services, unless expressly agreed otherwise in the quotation, prices cover the agreed scope. Any travel, accommodation, third-party testing, or activities not provided for in the initial quotation shall be addressed in accordance with the Change Order procedure set forth in Article 2.2.

AVS shall issue invoices electronically in accordance with the milestone or payment schedule agreed upon in the quotation. Each invoice shall include the reference of the quotation or the Customer's administrative purchase order.

Payment shall be made by bank transfer within thirty (30) calendar days following the date of receipt of the invoice. The Customer shall pay the full amount without set-off, withholding, or unilateral deduction. In the event of a discrepancy regarding an item, the Customer shall notify AVS in writing with reasoned grounds within ten (10) days following receipt of the invoice, paying in any case the undisputed portion within the statutory period. Upon the lapse of said period without written notification, the invoice shall be deemed accepted and agreed for all intents and purposes.

Late payment shall automatically accrue late payment interest in accordance with applicable commercial anti-late payment legislation. Upon the lapse of fourteen (14) days from the due date without receiving payment, AVS may suspend the provision of the Services until the outstanding balance is settled. Such suspension shall automatically extend the committed delivery schedules for a duration equivalent to the standstill and shall entitle AVS to re-invoice the direct resource remobilization costs arising from said interruption.

Schedules, Delivery, and Transfer of Title and Risk

AVS shall execute the Services and provide the deliverables in accordance with the schedule set forth in the quotation. The delivery of technical documentation, designs, reports, or software shall be deemed completed on the date of its dispatch by email or its availability on the agreed platform, repository, or exchange system.

When the engineering or scope of the contract includes the supply of prototypes, test hardware, or deliverable hardware, delivery shall be made FCA AVS facilities (Incoterms® 2020).

Ownership of any physical items, prototypes, or deliverable hardware supplied within the framework of the Services shall remain under the exclusive title of AVS and shall not transfer to the Customer until full and effective payment of the corresponding amounts, regardless of their material delivery or the transfer of risk.

If making the deliverables available or the receipt of the hardware is delayed for reasons attributable to the Customer, the deliverables shall be deemed effectively completed for invoicing and milestone achievement purposes on the date they became available. AVS may re-invoice the reasonable custody or storage costs arising from said delay.

Acceptance and Warranty

The Customer shall have seven (7) calendar days from the date the deliverables are made available to review their conformity. In the event of a justified non-conformity, the Customer shall notify AVS in writing with reasoned grounds within said period, and AVS's remediation shall be limited to the items subject to objection. Upon the lapse of said period without notification, the deliverables shall be deemed accepted for all intents and purposes.

Following acceptance, the Services and deliverables shall be covered by a warranty period of twelve (12) months. During this period, in the event of proven defects not detectable during the initial review, AVS's liability shall be limited, at its sole discretion, to the remedy, re-execution, or replacement of the affected deliverable. Defects resulting from improper use, handling, deficient maintenance, or modifications made without AVS's prior written authorization are excluded from this coverage.

AVS shall not be liable for errors, delays, or defects when these arise from incomplete, inaccurate, or late data, requirements, specifications, or instructions provided by the Customer or by third parties designated by the Customer.

Intellectual Property

All Intellectual and Industrial Property Rights incorporated in or derived from the deliverables, designs, methodologies, software, developments, or know-how used or created by AVS in the provision of the Services shall belong at all times and exclusively to AVS.

Subject to full payment of the corresponding invoices, AVS grants the Customer a non-exclusive, non-transferable, royalty-free license to use the deliverables exclusively for the purpose intended in the quotation. This license does not authorize resale, sublicensing, assignment to third parties, nor the reverse engineering, decompilation, or modification of the deliverables or software, except as permitted by law.

Each Party's Pre-existing Intellectual Property shall retain its original ownership at all times, and the execution of the Services shall not imply any assignment or transfer thereof.

The Customer grants AVS a non-exclusive, royalty-free license to use the specifications, data, documentation, or materials provided by the Customer exclusively during the term of the project and for the provision of the Services. The Customer warrants that it holds all necessary rights regarding such materials and shall hold AVS harmless against any third-party claims in this respect.

Any contributions, comments, reviews, or requirements provided by the Customer during the execution of the Services shall not constitute joint development nor grant the Customer any co-ownership rights over the developments, improvements, modifications, or inventions generated by AVS.

Confidentiality and Artificial Intelligence

Each Party shall protect the Confidential Information received from the other Party with the same degree of care as it applies to its own and shall use it exclusively for the performance of the Services. It shall not be disclosed to third parties without the prior written consent of the Disclosing Party. This obligation shall remain in effect during the commercial relationship and for five (5) years following its termination.

The confidentiality obligation shall not apply to information that: (i) is or becomes publicly available without breach of these Terms; (ii) was already in the lawful possession of the Receiving Party prior to its disclosure; (iii) was independently developed by the Receiving Party; or (iv) is required to be disclosed by operation of law or by order of a competent authority.

The receiving Party shall not disclose or make available any Confidential Information to public or third-party artificial intelligence systems without the prior written consent of the disclosing Party. Nothing in these Terms shall prevent the use of internal systems controlled by the receiving Party, provided that such systems have equivalent confidentiality and security safeguards and do not use the Confidential Information to train third-party artificial intelligence models.

Liability

AVS shall be liable exclusively for direct damages caused by a proven breach of its contractual obligations. In no event shall AVS be liable for indirect, incidental, consequential damages, lost profits, loss of revenue, loss of data, production downtime, or loss of business opportunities.

AVS's total cumulative liability for any concept arising out of or in connection with the provision of the Services shall not exceed in the aggregate the total amount actually received by AVS under the corresponding quotation or purchase order.

The limitations of liability in this article shall not apply in cases of willful misconduct, gross negligence, fraud, death, or personal injury directly caused by AVS, nor to those liabilities that cannot be legally excluded under applicable law.

Any claim for damages or breach of the Services must be notified in writing to AVS within ninety (90) calendar days following the date on which the Customer became aware of the facts giving rise to the claim. The foregoing shall not limit the exercise of the warranty rights provided under Article 5 during the period expressly established in said article.

Regulatory Compliance and Export Control

Both Parties shall comply with applicable anti-corruption and anti-bribery laws, committing not to offer, solicit, or accept any improper payments or advantages in connection with the Services, tender processes, bidding, or contract awards.

Deliverables, technology, or technical data associated with the Services may be subject to export control and dual-use regulations of the European Union, the United States, or other applicable jurisdictions. Each Party shall be responsible for obtaining the export or import licenses, authorizations, or permits required by law within its respective scope of action. The Customer warrants that AVS's deliverables and technology shall not be used for prohibited purposes nor re-exported to countries or entities subject to international embargoes or sanctions.

The Parties shall provide each other promptly with the information or End-User Certificates required for obtaining export licenses. Neither Party shall be obligated to perform any obligation if such performance constitutes a breach of applicable export control laws or international sanctions. Furthermore, delays in execution or delivery resulting directly from processing or decision-making times for licenses by competent public authorities shall not constitute a contractual breach nor give rise to any liability or indemnification, provided that the affected Party has processed the application with due diligence.

Force Majeure

Neither Party shall be liable for any delay or failure to perform its obligations when such delay or failure is the result of a Force Majeure event beyond its reasonable control, including natural disasters, acts of terrorism, war, pandemics, governmental restrictions, or severe non-attributable disruptions of essential infrastructure or supplies.

The affected Party shall notify the other without delay of the occurrence of the Force Majeure event and shall adopt reasonable measures to mitigate its effects and resume performance as soon as possible.

If the Force Majeure event continues uninterrupted for more than ninety (90) calendar days, either Party may terminate the corresponding quotation or purchase order upon written notice, without liability or penalty. Force Majeure shall not relieve the Customer from the fulfillment of payment obligations already due or corresponding to Services effectively performed by AVS up to the date of suspension.

Contract Termination

Either Party may terminate the quotation or purchase order if the other Party commits a material breach of its essential obligations and fails to remedy such breach within thirty (30) calendar days following receipt of a written notice to cure.

AVS may terminate the quotation or purchase order with immediate effect, upon simple written notice and without the need to grant a remedy period, under any of the following circumstances:

(a) Failure by the Customer to pay any amount due upon the lapse of thirty (30) days from its due date or demand for payment.

(b) Breach of substantial obligations that by their nature are incurable, including any violation of Articles 6 (Intellectual Property), 7 (Confidentiality and Artificial Intelligence), or 9 (Regulatory Compliance and Export Control).

(c) Insolvency proceedings, bankruptcy, liquidation, or cessation of business activities of the Customer.

(d) Unauthorized assignment of the contract or a change of control in the ownership or shareholding of the Customer that involves a direct competitor of AVS.

Termination of the contract shall release AVS from continuing the performance of the Services. The Customer shall immediately pay AVS all amounts corresponding to Services executed, deliverables made available, as well as direct costs and non-cancelable financial commitments incurred by AVS up to the effective date of termination.

The expiration or termination of the purchase order shall not affect the validity or enforceability of those clauses which by their nature or express provision are intended to survive, including those relating to Intellectual Property, Confidentiality, Artificial Intelligence, Limitation of Liability, Applicable Law, and Jurisdiction.

Applicable Law and Arbitration

These Terms, as well as the quotations and orders derived therefrom, shall be governed by and construed in accordance with Spanish law, to the express exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Any dispute, controversy, or claim arising out of or in connection with the interpretation, execution, or termination of the Services shall be settled finally under the Rules of Arbitration of the International Chamber of Commerce (ICC) by one (1) arbitrator appointed in accordance with said Rules. The seat of arbitration shall be Donostia-San Sebastián (Spain). The language of the proceedings shall be Spanish if both Parties are Spanish, or English if any of the Parties is not Spanish. The award shall be final and binding upon both Parties.

Miscellaneous Provisions

If any provision of these Terms is declared null, void, illegal, or unenforceable by an arbitral tribunal or competent authority, such declaration shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

The Customer may not assign, transfer, or subrogate its rights or obligations under these Terms or the quotation without the prior written consent of AVS. AVS may assign or subcontract the execution of the Services to companies within its corporate group or to specialized subcontractors, provided that it shall inform the Customer in advance when such subcontracting or assignment substantially affects the execution of the deliverables.

The Parties shall process the personal data of each other's representatives and contact personnel in accordance with Regulation (EU) 2016/679 (GDPR) and applicable legislation, solely for the purpose of managing the contractual relationship and the execution of the Services. Data subjects may exercise their rights of access, rectification, erasure, and other rights recognized by law by writing to the registered office of the corresponding Party.

All notices required or permitted under these Terms shall be made in writing and shall be deemed validly given when sent by email to the contact addresses designated in the quotation or purchase order, or by registered mail with acknowledgment of receipt to the registered office of the recipient Party.

These Terms are drafted in Spanish and English versions. In the event of any discrepancy, contradiction, or divergence in interpretation between both versions, the Spanish version shall prevail and shall be the sole version considered authentic for all legal purposes.
